Nickel North Announces Non-Brokered Private Placement
of Convertible Debenture
Nickel North Exploration Corp. (NNX - TSX-Venture Exchange) (the "Company") announces a non-brokered private placement of up to $200,000 in unsecured convertible debentures (the "Debentures") at an interest rate of 5% with a maturity of twelve (12) months (the "Offering"). The Debentures are convertible for the issuance of up to an aggregate of 5,000,000 units (the "Conversion Units") at a conversion price of $0.04 per Conversion Unit. Holder(s) of the Debenture(s) may, at any time and from time to time after 90 days from the closing of the Offering, elect to convert the outstanding Debenture(s), including any interest due and unpaid, into Conversion Units at a price of $0.04 per Conversion Unit. Each Conversion Unit consists of: (i) one common share, and (ii) one common share purchase warrant (each a "Share Purchase Warrant"). Each Share Purchase Warrant will entitle the holder to purchase one common share for a period of two (2) years from the issuance date of the Share Purchase Warrant at an exercise price of $0.08 per share.
Proceeds from the issuance of the Debentures issued will be used for the general working capital.
Certain insiders of the Company may participate in the Offering. Any participation by insiders in the Offering constitutes a "related party transaction" as defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Company intends to rely on exemptions from the formal valuation and minority approval requirements of sections 5.5(a) and 5.7(1)(a) of MI 61-101 in respect of such insider participation, based on a determination that fair market value of the participation in the Offering by insiders will not exceed 25% of the market capitalization of the Company, as determined in accordance with MI 61-101.
The Debentures of the Company have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, or any state securities laws, and may not be offered or sold in the United States, or to or for the account or benefit of any person in the United States, absent registration or an applicable exemption from the registration requirements.
